Pallet Pro Liquidation, LLP (“Company” or “PPL”), located at 4755 Cuba Millington Rd, Millington, TN 38053, United States, operates the website directliquidation.com (the “Site”). This site functions as a private marketplace (the “Private Marketplace” or “PM”) where PPL offers services (the “PM Services,” “Services,” or “DL’s Services”) for the sale of merchandise, including liquidation or salvage goods, products, returns, surplus inventory, pallets, skids, and lots. Various entities—including individuals, sole proprietors, partnerships, businesses, and corporations—can list and sell products through this marketplace.

Registered Buyers (“Buyers”) and Sellers (“Sellers”) (collectively, “Users” or “Parties”) access the Services subject to the terms and conditions outlined in this Agreement. The Services include, but are not limited to, the DL website, online services, account management, and customer support (collectively referred to as the “Site and Services”).

Acceptance of Terms

By registering for DL’s Services, you agree to the terms and conditions of this Agreement. Registration is necessary for access to DL’s Services.


1. DEFINITIONS

1.1. ASA: Asset Sales Agreement (“ASA”) for liquidation goods received at a DL facility.
1.2. Asset: Refers to the same meaning as “Item.”
1.3. Best Offer: A transaction where a Buyer purchases an Item below the list price.
1.4. Buy Now: A transaction where a Buyer purchases an Item at the list price.
1.5. Circumventing Transaction: A transaction where one User negotiates or transmits information to another User to complete a sale outside PPL’s online liquidation auction.
1.6. Claims: Refers to claims, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees.
1.7. Company’s Marks: Includes PPL’s trademarks, trade names, logos, and branding elements used in implementing this Agreement.
1.8. Confidential Information: Any proprietary or confidential information of PPL or a User, marked as such or reasonably understood as confidential.
1.9. Deal: Refers to the closing of an auction, the execution of a Buy Now transaction, or the Seller’s acceptance of a Buyer’s Best Offer.
1.10. Demanufacture: Refers to the process of removing identifying marks, logos, barcodes, or other labels from an asset to indicate that it has undergone a salvage process.
1.11. DL’s Technologies: Includes the Site, its network of online marketplaces, and all associated technologies, intellectual property (IP), and software used in the Site’s operation.
1.12. DL’s Services: Online services such as sales of various items, fraud prevention, Seller/Buyer communication tools, payment processing, and shipping/logistics management.
1.13. Effective Date: The date on which this Agreement commences.
1.14. Gross Merchandise Value (“GMV”): The sale price of an item (winning bid or purchase price), excluding shipping, tax, and other transaction fees.
1.15. Item: An irreducible salable component of Merchandise or Inventory.
1.16. Login Credentials: A validated username and password for accessing the Site.
1.17. No Bid Auctions: Auctions that do not receive any bids.
1.18. Shill Bidding: Bidding on one’s own auction (directly or indirectly) to artificially inflate the price.
1.19. Termination Date: The date when this Agreement is terminated.
1.20. User Information: All information submitted by a User in connection with the use of the Private Marketplace Services.
1.21. User: Any individual or entity using the PM Services.


2. COMPANY OBJECTIVE AND SERVICES

2.1 Company

PPL provides Sellers with a comprehensive and reliable solution for converting surplus inventory into cash and offers qualified Buyers a platform to source products globally at competitive prices.

2.2 Services

PPL develops and manages proprietary technologies and integrated services (referred to as PPL’s Technologies and Services) to facilitate the liquidation of physical assets and ensure the completion of transactions. These services include providing Sellers with a private dashboard to track order history and payment status.

PPL enables Buyers and Sellers to engage in different transaction types, such as auctions, Buy Now, and Best Offer deals. The obligations of Sellers and Buyers regarding these transactions are outlined in other sections of this Agreement.

In a Best Offer transaction, the Buyer makes an offer, and the Seller accepts it based on the following rules, without limiting any other terms and conditions set in this Agreement.
